Terms of Service

These terms are an agreement between you and Layup Inc., the Delaware company that operates Realize (“we”, “us”). By creating an account or using Realize, you agree to them. If you don’t agree, don’t use the service. Realize is intended for US residents who are at least 18 years old.

What Realize is. Realize is a software tool that aggregates your prediction-market trade history from venues you connect (such as Kalshi and Polymarket US) and computes tax positions and estimates from it. We are not a CPA firm, law firm, registered tax preparer, or financial advisor, and nothing produced by Realize is tax, legal, or financial advice. You can read our full tax disclaimer.

You’re responsible for the figures. Every number Realize shows is an estimate computed from the data you connect and the bracket and prior-year inputs you supply, and its accuracy depends on the completeness of that data. You, together with your own accountant, are responsible for reviewing every figure before you file. Section 1256 treatment of prediction-market contracts is genuinely unsettled: there is no specific IRS guidance, so we show our reasoning and don’t overstate certainty.

Your account and connections. You’re responsible for your account and for only connecting venue accounts that belong to you. Realize asks for read-only API access, encrypts your credentials at rest, and never places trades, moves funds, or takes any action on your account. Disconnecting a venue removes the stored key and the trade history synced from it.

Acceptable use. Use Realize for your own personal tax preparation. Don’t misuse it: no scraping, reverse-engineering, reselling, or sharing access; no attempting to access another user’s data; and nothing that disrupts or attempts to break the service.

Subscriptions and billing. Tracking your activity is free. The $59 Forms and $159 Forms + filing plans are billed annually in USD through our payment processor (Stripe) and renew each year until you cancel. Full Service is a separate annual engagement, quoted on a call and billed the same way. You can cancel anytime; except where required by law, fees already paid are not refunded for a period already begun.

What we deliver, and when. Your forms (Form 6781, Schedule D, Form 8949 and the 1040-X worksheets) are produced from the trade history you connect, reviewed by a CPA, and emailed to you. There is no instant download. Because a person reviews every set, delivery takes as long as that review takes. The Forms + filing plan additionally covers filing your coming return; we will send it to you to approve, and nothing is filed without your approval.

Estimates are estimates. Every savings figure Realize shows is computed by our software under the filing status, income and prior-year assumptions displayed in your Tax Center. It is an estimate, not a figure from a filed return, an IRS determination, or a tax professional, and it depends on the completeness of the trade history you connect. If you connect no venue account, or connect one partway through the year, the estimate reflects only the data we have. Changing your assumptions changes the estimate. Nothing we show is a promise about your actual tax outcome, which depends on your full financial picture and how you and your accountant choose to file.

Intellectual property. Realize and its software, design, and content are ours. Your data stays yours. These terms don’t give us ownership of it, and we don’t sell it (see our Privacy policy).

No warranty. Realize is provided “as is” and “as available,” without warranties of any kind. We don’t warrant that the service will be uninterrupted, error-free, or that any estimate it produces is accurate for your situation.

Limitation of liability. To the fullest extent permitted by law, Realize is not liable for your filing outcomes, tax penalties, interest, or lost or delayed refunds, or for any indirect or consequential damages. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim.

Changes and termination. We may update the service and these terms. When we make a material change we’ll update the “Last updated” date above, and continuing to use Realize after a change means you accept the updated terms. You may stop using Realize at any time.

Governing law and contact. These terms are governed by the laws of the State of Delaware and applicable US federal law, without regard to conflict-of-laws rules. Questions? Email support@realize.tax.
